1. INTRODUCTION Lab Belay LLC (the “Company,” “we,” “us,” or “our”) is committed to maintaining robust privacy protections for its users. Our Privacy Policy (“Privacy Policy”) is designed to help you understand how we collect, use, and safeguard the limited information you provide to us and to assist you in making informed decisions when using our Service. This Privacy Policy applies to the Company’s website, which can be accessed at labbelay.bio (the “Site”), and the Company’s services accessed via the Site, including the LabBelay software platform and BeakerAI (collectively, the “Service”).
2. GOVERNING CONTRACT AND ARBITER OF DISAGREEMENTS The Service is a strictly business-to-business (B2B) Software-as-a-Service (SaaS) product. Use of the Service is strictly limited to authorized users who are part of a valid commercial SaaS Services Agreement (the “Contract”) executed between the user's organization (the “Customer”) and the Company. The Contract establishes the standard for the use of the Service. In the event of any disagreement, conflict, ambiguity, or inconsistency between this Privacy Policy and the Contract, the terms and conditions of the Contract shall act as the ultimate arbiter and shall strictly govern and control. Nothing in this Privacy Policy limits or excludes rights provided under applicable data protection law.
3. USER ELIGIBILITY AND CHILDREN’S PRIVACY All users must be explicitly authorized under a commercial Contract. Furthermore, the Site and the Service are not directed to anyone under the age of thirteen (13). The Company does not knowingly collect or solicit information from anyone under the age of 13, and no individual under the age of 13 is permitted to sign up for or use the Service under any circumstances. In the event that we learn that we have gathered personal information from anyone under the age of 13, we will delete that information as soon as possible. 4. INFORMATION WE COLLECT To minimize privacy risks and align with our B2B focus, we strictly limit the collection of personal information.
4.1 Personal Information: When you are authorized to use the Service under your organization's Contract, we collect Personal Information from each user strictly for login and communication purposes. This includes your name, business email address, and account credentials (such as a password) (“Personal Information”). We do not collect unnecessary personal demographic data (such as address, date of birth, or marital status).
4.2 Data We Collect for Operational Purposes: We also collect data including information provided to us by your browser or by our software application when you view or use the Service, such as the referring URL, the type of browser you use, the device from which you connected to the Service, the time and date of access, system logs, IP address, user ID, organization affiliation, support communications, and telemetry. We track this information using cookies or small text files which include an anonymous unique identifier. We use cookies and similar technologies for authentication, security, and analytics. Where required by law, we obtain consent before placing non-essential cookies. When aggregated and deidentified, we use this information as Operational Data on an individual and aggregate basis to maintain secure sessions and improve the quality of the Service.
5. HOW WE USE AND SHARE INFORMATION
5.1 Personal Information: Except as otherwise stated in this Privacy Policy, we do not sell, trade, rent, or otherwise share your Personal Information with third parties for marketing purposes. We share Personal Information with trusted vendors who are performing services for the Company (such as email communication servers or third party AI service providers). Those vendors use your Personal Information solely at our direction and strictly in accordance with our Privacy Policy. The limited Personal Information you provide to us is used exclusively to help us communicate with you and manage your login access. For example, we use Personal Information to contact users in response to questions, solicit feedback, provide technical support, and send administrative or technical notices. We may transfer Personal Information to service providers located in the United States and other jurisdictions and where required, we implement appropriate safeguards. We may share Personal Information with outside parties if we have a good-faith belief that access, use, preservation, or disclosure of the information is reasonably necessary to meet any applicable legal process or enforceable governmental request; to enforce our Terms of Service or the Contract; to address fraud, security, or technical concerns; or to protect against harm to the rights, property, or safety of our users or the public as required or permitted by law.
5.2 Customer Data and Operational Data: Any Proprietary Customer Data are governed entirely by the confidentiality and data ownership provisions of the Contract. Except as otherwise provided in the Contract, (i) we may use Operational Data in order to track trends, analyze use patterns, and train artificial intelligence models to improve the Service and (ii) such data does not identify any Customer or individual, is processed to prevent re-identification, does not include Proprietary Customer Data in identifiable form, and is used solely to improve the Service. In the event we undergo a business transaction such as a merger, acquisition, or sale of all or a portion of our assets, your Personal Information may be among the assets transferred.
6. HOW WE PROTECT INFORMATION We implement and maintain administrative, technical, and organizational safeguards designed to protect Personal Information and Proprietary Customer Data, including encryption in transit and at rest, access controls, logging, monitoring, and vulnerability management consistent with industry standards. Your account is protected by your account password, and we urge you to take steps to keep your personal information safe by not disclosing your password and by logging out of your account after each use. We further protect your information by implementing technological security measures including encryption, firewalls, and secure socket layer technology. However, these measures do not guarantee that your information will not be accessed, disclosed, altered, or destroyed by a breach of such firewalls and secure server software.
7. RETENTION We retain Personal Information for the duration of the Customer relationship and for a limited period thereafter necessary for legal, security, or audit purposes.
8. YOUR RIGHTS REGARDING THE USE OF YOUR PERSONAL INFORMATION You have the right at any time to prevent us from contacting you for marketing purposes. When we send a promotional communication to a user, the user can opt out of further promotional communications by following the unsubscribe instructions provided in each promotional email. Please note that we may continue to send you administrative emails, including periodic updates to our Privacy Policy or critical system notifications. We process Personal Information solely for business purposes. Depending on your jurisdiction, you may have rights to access, correct, delete, restrict, or object to processing of your Personal Information. Requests should be submitted to support@labbelay.bio. In the event of a confirmed data breach affecting Personal Information, we will notify affected Customers without undue delay and in accordance with applicable law.
9. CHANGES TO OUR PRIVACY POLICY The Company reserves the right to change this policy and our Terms of Service at any time, subject to the terms of your organization's Contract. We will notify you of significant changes to our Privacy Policy by sending a notice to the primary email address specified in your account or by placing a prominent notice on our Site. Significant changes will go into effect 30 days following such notification. Non-material changes or clarifications will take effect immediately.
